Director of Legal Affairs EMEA & APAC - Cambridge, EnglandLocation: Cambridge, England Director of Legal Affairs EMEA & APAC (Maternity Cover)Location: Cambridge Ref: LC Mat Job Purpose To provide in-house legal expertise, co-ordination and implementation on Intellectual Property and Commercial law issues for nCipher Corporation Ltd, its subsidiaries in EMEA and APAC and to provide support as required to nCipher Inc. Additional Information This is a maternity position covering the post holder - Lisa Clausen. nCipher has a legal team in the UK and USA who together provide support to the business globally. Whilst the two teams work independently, there may be requirements to share work across time zones in order that business critical contracts are prepared and legal issues resolved in a timely manner. The role will not involve travel. Given the nature of the work, homeworking will be difficult, but may be considered. The role is supported by a Legal Affairs Officer. There will however be no formal line management responsibility for this role. Role (Accountabilities) You will be responsible for: Managing the legal administration of the Company's intellectual property portfolio Drafting and / or reviewing commercial, legal or intellectual property agreements that the Company intends to commit to with customers, partners and re-sellers Negotiating terms for proposed agreements and drafting bespoke agreements where required Managing the resolution of patent, export and licensing issues Managing the resolution of Trademark issues Advising on and co-ordinating the Company's use of external legal expertise where required Liaising with Sales and Administration and Finance teams to ensure sales orders are processed under the correct legal terms Liaising with the Director of Legal Affairs (US) to ensure Legal requests are dealt with in a timely manner across the Group companies Assisting the CFO by researching and administering the legal and compliance requirements of doing business in different territories In collaboration with the Director of Legal Affairs (US) setting up and maintaining internal standards. Reviewing departmental performance with internal stakeholders to ensure appropriate levels of support to the business Managing the Legal Budget EMEA Person Specification: Essential skills You will have: A law degree Demonstrable experience working as a commercial lawyer Demonstrable experience negotiating complex 1st and 3rd party agreements, liaising with client and supplier legal teams Demonstrable experience dealing with Intellectual Property Issues in a technology business Demonstrable experience managing Trademarks issues Experience working as an in-house lawyer in a technology hardware / software business Behaviours: Proactivity - Develops practical solutions, takes leadership, has a 'can do' rather than 'won't do' approach Teamwork - Connected to the business, communicates openly, shares information and knowledge, networks internally and externally, persuades rather than pushes, involves colleagues, respects colleagues.
